Agentic Storefronts Supplemental Terms of Service

1. AGENTIC STOREFRONTS

Agentic Storefronts, powered by Shopify Catalog, enables buyers to discover and purchase products from eligible merchants from the user interface of certain channels operated by Shopify or third party Shopify partners ("Participating Channels"). Eligible merchants can view a list of current Participating Channels available for your Store in your Shopify Admin.

2. ELIGIBILITY

Shopify may determine, in its sole discretion, whether you or your Store are eligible to use Agentic Storefronts or any Participating Channels. For information on eligibility requirements, see Agentic Storefronts help documentation. Participating Channels may have additional requirements outlined in their respective terms ("Participating Channel Terms").

Only those Merchants who meet all requirements are eligible to access and use Agentic Storefronts. Your Materials and your use of Agentic Storefronts must comply at all times with these Supplemental Terms, the Shopify Terms of Service, Participating Channel Terms, all other applicable policies and guidelines of Shopify or Participating Channels, and applicable law.

3. PARTICIPATING CHANNEL TERMS INCORPORATION

Participating Channels may have their own Participating Channel Terms that apply to your use of Agentic Storefronts for the respective Participating Channel. By participating in Agentic Storefronts, you accept and agree to be bound by each of the following Participating Channel Terms to the extent the Participating Channel is enabled for your Shopify Store:

1. Addendum to the Google Merchant Center Terms of Service for Shopify Merchants
2. Microsoft Copilot Shopify Checkout Terms

For Participating Channels who offer Apps to merchants in connection with Agentic Storefronts, Participating Channel Terms may be made available to you directly by the Participating Channel in connection with the App.

Shopify may add new Participating Channels to Agentic Storefronts from time to time. The respective terms of any Participating Channel added to these Supplemental Terms are incorporated into this agreement by reference and will apply to the extent the Participating Channel is enabled for your Shopify Store. Your continued participation in Agentic Storefronts after additional Participating Channels are added constitutes your acceptance and agreement to the respective Participating Channel Terms.

In the event of a conflict between these Supplemental Terms and any Participating Channel Terms, these Supplemental Terms will govern with respect to Shopify's rights and obligations related to Agentic Storefronts. For the avoidance of doubt, other than the terms related to Participating Channels directly operated by Shopify, Shopify is not a party to any of the Participating Channel Terms, and is not liable to you or responsible for your compliance in respect thereof.

4. MERCHANT OBLIGATIONS AND AUTHORIZATIONS

While Agentic Storefronts provides you access to have your products discovered and purchased by customers from Participating Channels' user interfaces, the transaction is completed through your Shopify Store. You remain the seller of record, and are responsible for all aspects of the transactions between you and your customer(s) as outlined in the Shopify Terms of Service, these Supplemental Terms, and Agentic Storefronts help documentation.

You acknowledge and agree that Participating Channels may customize your customer's experience on their respective user interface. This includes, but is not limited to, the ability of a Participating Channel to customize Shopify Checkout to match the branding and style of its user interface and override customizations you have made through the Checkout Branding API. You also acknowledge and agree that the customizations or configurations you set for your Shopify Store and Shopify Checkout, including but not limited to blocks built on Checkout UI Extensions that are added using the Checkout and Accounts Editor, customized shipping and delivery options, marketing opt-in, abandoned checkouts, and supported payment methods, payment gateways, or digital wallets may not be the same as what is available on the Participating Channel's user interface. If any of the above customizations and configurations are required for your business, you are responsible for determining whether you should disable a Participating Channel for your Shopify Store as outlined in Section 8 below.

5. INTELLECTUAL PROPERTY

You agree and acknowledge that the license to your Materials granted to Shopify in the Shopify Terms of Service extends to and authorizes Shopify to, without limitation, use (including to list, combine, feature, promote, process, analyze, or index), distribute, display, reproduce, copy, store, and create derivative works of your Materials (as that term is defined in the Shopify Terms of Service) including in or through the platforms, systems, and user interfaces of any Participating Channels. You further agree and acknowledge that the license is sublicensable to Shopify partners and their affiliates operating Participating Channels for their use of your Materials in connection with their platforms, systems, and services. You represent and warrant that you have all necessary rights in your Materials, including but not limited to intellectual property rights, to authorize Shopify and Shopify partners and their affiliates operating Participating Channels to use your Materials as contemplated by this section.

6. FEES AND TAXES

6.1 Fees

For certain Participating Channels, Shopify may, in its discretion, assess a fee on transactions that occur as a result of your participation in Agentic Storefronts. You agree to pay the fees associated with each Participating Channel that are set out in your Shopify Admin, and any taxes on such fees, which are incorporated herein by reference (the "Agentic Storefronts Fees"). Agentic Storefronts Fees are in addition to other fees you are responsible for paying, including but not limited to Subscription Fees, Transaction Fees, and Additional Fees outlined in the Shopify Terms of Service. Agentic Storefronts Fees and taxes on such fees shall be collected from you by the applicable Payment Processor on our behalf in accordance with the Shopify Payments Terms of Service (which are incorporated into these Supplemental Terms by reference), including the Payment Processor Terms referenced therein.

Shopify may, in its discretion, offer you a trial period, in which Agentic Storefronts Fees are discounted or waived (the "Promotional Period"). The details of any such Promotional Period offered to you will be set out in your Shopify Admin. If you disable a Participating Channel for your Shopify Store after the expiration of the Promotional Period, you will not be eligible for an additional Promotional Period if you re-enable your participation with that Participating Channel.

The section entitled "Payment of Fees and Taxes" in the Shopify Terms of Service applies to any taxes on Agentic Storefronts Fees that arise out of your use of or participation in Agentic Storefronts.

In the event a transaction is cancelled or refunded, you will receive a refund of the portion of the Agentic Storefronts Fees and associated sales tax that was charged on the transaction for your participation in Agentic Storefronts. You will not receive a refund of the transaction fees charged for Shopify Payments. For the avoidance of doubt, Shopify reserves the right to assess the Agentic Storefronts Fees as set out in your Shopify Admin for any transactions that occur as a result of your participation in Agentic Storefronts that are not cancelled or refunded.

6.2 Sales Tax

The section entitled "Payment of Fees and Taxes" in the Shopify Terms of Service generally applies to taxes, duties, fees, surcharges and additional charges that arise from or as a result of any sale or delivery of products through Agentic Storefronts. If Shopify determines that any state or local sales, use, or similar transaction tax should be collected and remitted by Shopify (including for transactions enabled through Shop), Participating Channels, or you in connection with your sale or delivery of products or services through Agentic Storefronts, Shopify retains the right, but not the obligation, at its sole discretion, to collect and remit tax on your sales through Agentic Storefronts, and complete and file tax or related reports with tax authorities for transactions in any jurisdiction where Shopify deems such reporting necessary. Shopify also retains the right to collect from you all such taxes, penalties, and interest that are either unrecoverable from your customer or which remained uncollected due to incorrect information provided by you. You hereby indemnify and hold Shopify harmless from any and all liability related to taxes and filings made by Shopify in connection with these transactions.

7. DATA AND CUSTOMER RELATIONSHIPS

Your customer's purchase of your products from a Participating Channel's user interface is subject to your terms and privacy policy and the respective Participating Channel's terms and privacy policy with its users. For Participating Channels operated by Shopify partners, Shopify will process the personal information of your customers on your behalf in accordance with the terms of these Supplemental Terms (including our Data Processing Addendum) and any lawful instructions reasonably given by you to us from time to time.

For Participating Channels operated by Shopify partners, Shopify may disclose data associated with a customer or their transactions and orders, including personal information of a customer, to Participating Channels to allow the Participating Channel to initiate, process, or complete a customer's transaction from the Participating Channel's user interface, provide post-purchase order status updates to customers on the Participating Channel's user interface, for fraud and abuse prevention, and for legal compliance purposes ("Transaction Servicing and Legal Compliance Purposes"), or for any other use otherwise authorized by you, including, for example, in the Shopify Terms of Service, Supplemental Terms, or the Participating Channel Terms, or as directed by the user to the Participating Channel.

In order to enable your participation in Agentic Storefronts for Participating Channels operated by Shopify partners, Shopify may share personal information about you, including the name and business contact information associated with your Shopify Account, with a Participating Channel for Transaction Servicing and Legal Compliance Purposes or for any other use otherwise authorized by you in the Participating Channel Terms.

For the avoidance of doubt, nothing in these Supplemental Terms restricts a Participating Channel's rights with respect to data it collects directly from you, or data it collects directly from a user interacting with the Participating Channel, which in each case is governed by the respective Participating Channel's applicable terms and privacy policy with you or its users.

8. TERMINATION

If you do not wish to participate in using the features of Agentic Storefronts with a particular Participating Channel, it is your responsibility to disable the features for that Participating Channel for your Shopify Store in your Shopify Admin.

Shopify may terminate these Supplemental Terms or modify or terminate the provision of services in connection with Agentic Storefronts for any reason and at any time without notice to you. Participating Channels may terminate the provision of their services in connection with Agentic Storefronts at any time without notice to you.

Except as otherwise specified, you are bound by these Supplemental Terms as long as any features for a Participating Channel are enabled for your Shopify Store. Upon termination, all related rights and obligations under these Supplemental Terms immediately terminate, except that (a) you will remain responsible for performing all of your obligations in connection with transactions entered into before termination and for any liabilities that accrued before or as a result of termination, (b) Sections 5 (Intellectual Property), 9 (Survival), 10 (Disclaimer, Indemnity, and Limitation of Liability), and 11 (General) will survive the termination or expiration of these Supplemental Terms (and, in the event of any conflict between this section and Section 9, Section 9 will control), and (c) you will remain bound by the Shopify Terms of Service to the extent you continue to use other Services.

9. SURVIVAL

Notwithstanding anything to the contrary in any agreement between you and Shopify, the following shall survive termination or expiration of these Supplemental Terms, the Shopify Terms of Service, and any other agreement between you and Shopify: (a) the license to your Materials granted to Shopify in the Shopify Terms of Service, as extended by Section 5 of these Supplemental Terms, including any sublicenses granted thereunder, (b) your representations and warranties in Section 5 of these Supplemental Terms, (c) Section 10 (Disclaimer, Indemnity, and Limitation of Liability), and (d) Section 11 (General).

10. DISCLAIMER, INDEMNITY, AND LIMITATION OF LIABILITY

The disclaimers, indemnities, and limitation of liability in the Shopify Terms of Service extend to Shopify in connection with Agentic Storefronts when any features for a Participating Channel are enabled for your Shopify Store.

Shopify does not provide any warranties or make representations to you with respect to Participating Channels. You acknowledge that Shopify will not be responsible or liable to you or anyone else for such Participating Channels or their services in connection with Agentic Storefronts, including, for example, any direct, indirect, incidental, special, consequential, punitive, extraordinary, exemplary or other damages whatsoever that result from a Participating Channel, their services, or their contractual relationship with you. These limitations will apply even if Shopify has been advised of the possibility of such damages. The foregoing limitations will apply to the fullest extent permitted by applicable law.

11. GENERAL

11.1 Non-Exclusivity. Nothing in these Supplemental Terms limits Shopify, Participating Channels, or your right to do business with other organizations, entities, or marketplaces that are similar to, or competitive with, products or services of other parties.

11.2 Marketing. Unless otherwise agreed, Merchant will not explicitly or implicitly state or imply any co-branding, sponsorship, agency, or other endorsement of Shopify or Participating Channels.

11.3 Confidentiality. The confidentiality provisions in the Shopify Terms of Service apply in their entirety to any Confidential Information disclosed or received by Shopify, Participating Channels, or Merchants in connection with Agentic Storefronts.

11.4 Subcontracting. Shopify, Participating Channels, or Merchant may subcontract any of their respective obligations under these Supplemental Terms, but will remain liable for all subcontracted obligations and its subcontractors' acts or omissions.

11.5 Entire Agreement. These Supplemental Terms constitute the entire agreement between Shopify and you respecting your use of Agentic Storefronts and supersede any prior written or oral agreements with respect to the subject matter herein.
